The Site is operated by EQORE Inc., a Delaware corporation (“EQORE,” “we,” “us,” or “our”), with a mailing address at 444 Somerville Avenue, Somerville, MA 02143. These Terms are a legally binding agreement between you and EQORE. By using the Site, you accept and agree to these Terms. If you do not agree, do not use the Site.

• EQORE and our officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenues, goodwill, data, or use; or business interruption, even if we have been advised of the possibility of such damages.

• The total aggregate liability of EQORE and our officers, directors, employees, agents, suppliers, and licensors for all claims arising out of or related to your use of the Site will not exceed fifty U.S. dollars (US $50).

 

Some jurisdictions do not allow certain limitations or exclusions of liability; in those jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Governing Law; Jurisdiction; Venue

 

These Terms and any dispute or claim arising out of or relating to them or the Site are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. You and EQORE agree to the exclusive jurisdiction and venue of the state and federal courts located in Boston, Massachusetts, and waive any objection to such jurisdiction and venue, including forum non conveniens.

 

15. Arbitration; Class Action Waiver

 

To the fullest extent permitted by law, you and EQORE agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be resolved on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Class actions and class arbitrations are not permitted.

 

If a court of competent jurisdiction finds the class action waiver in this Section unenforceable, the entire Section 15 will be null and void. Nothing in this Section prohibits you or EQORE from seeking temporary or preliminary injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property.

 

16. Export and Sanctions Compliance

 

You agree to comply with all applicable U.S. and international export control and economic sanctions laws and regulations in connection with your use of the Site. You may not use or access the Site if you are located in a jurisdiction subject to comprehensive U.S. sanctions or are on a U.S. government restricted party list.

 

17. Severability; Waiver; Assignment

 

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction.

 

18. Entire Agreement

 

These Terms constitute the entire agreement between you and EQORE regarding the Site and supersede any prior or contemporaneous understandings or agreements on the subject matter. These Terms do not create any third-party beneficiary rights.
